Terms of Service

1. Acceptance of Terms

By submitting an RFQ, requesting a sample, or placing an order through HerbalSourcing (operated by HuBei DeShang Industry & Trade Co., Ltd.), you agree to these Terms of Service. If you do not agree, please do not use our website or services.

2. Definitions

• "RFQ" — Request for Quotation submitted through our website, email, or WhatsApp.
• "Quotation" — Our written offer including product specifications, price, MOQ, lead time, and delivery terms.
• "Order" — A confirmed purchase commitment from the buyer, acknowledged in writing by us.
• "COA" — Certificate of Analysis for a specific production batch.
• "FOB" — Free On Board (Incoterms 2020), our standard delivery term unless otherwise agreed.

3. Quotations and Pricing

• All quotations are valid for 15 days from the date of issue, unless otherwise stated.
• Prices are quoted in USD on FOB basis (Shanghai, Ningbo, or Wuhan port) unless otherwise agreed.
• Reference prices shown on product pages are indicative and subject to confirmation based on batch, grade, packaging, and order quantity.
• We reserve the right to adjust prices due to raw material cost fluctuations, exchange rate changes, or regulatory changes before order confirmation.
• A quotation is not a binding offer until confirmed by a proforma invoice (PI) signed by both parties.

4. Payment Terms

• Sample orders: 100% payment in advance via PayPal, Wise, or bank transfer.
• Pilot orders (1-5 kg): 100% payment in advance via bank transfer.
• Bulk orders (25 kg+): 30% deposit by T/T upon PI confirmation, 70% balance before shipment.
• L/C (Letter of Credit): Available for orders above USD 20,000, subject to bank confirmation.
• All bank charges are borne by the buyer.

5. Delivery and Shipping

• Lead times are 7-15 business days for stock items, 15-30 days for custom productions, starting from deposit confirmation.
• Shipping terms are FOB (Incoterms 2020) unless otherwise agreed in writing.
• The buyer is responsible for import customs clearance, duties, and compliance with destination market regulations (FDA, EFSA, FSVP, etc.).
• We provide export documents: Commercial Invoice, Packing List, COA, MSDS, TDS, and Certificate of Origin as applicable.
• Force majeure events (natural disasters, pandemics, government actions) may extend lead times without penalty.

6. Quality and Specifications

• Each batch ships with a COA (Certificate of Analysis) covering active ingredient assay, heavy metals, microbiology, and pesticide residue as applicable.
• Product specifications on our website are indicative. The binding specification is the one stated on the proforma invoice and confirmed COA.
• Natural variation between batches is inherent in botanical extracts. We strive to maintain consistency but cannot guarantee identical results across different production batches.
• Buyers are encouraged to test samples before placing bulk orders.

7. Returns and Refunds

• Sample orders: Non-refundable. Samples are provided for evaluation purposes.
• Bulk orders: Returns accepted only if the product does not match the confirmed COA specification. Claims must be submitted within 15 days of receiving the goods, with supporting test results from an ISO 17025-accredited laboratory.
• Returns are not accepted for products damaged due to improper storage, handling, or use after delivery.
• Approved returns will be replaced or refunded at our discretion.

8. Intellectual Property

All content on this website, including product descriptions, formulations, images, and documentation, is the property of HuBei DeShang Industry & Trade Co., Ltd. or its content suppliers. You may not reproduce, distribute, or use our content for commercial purposes without written permission.

9. Limitation of Liability

• Our liability for any order is limited to the invoice value of the products supplied.
• We are not liable for indirect, consequential, or punitive damages, including loss of profits, loss of business, or product recall costs.
• Buyers are responsible for ensuring that products comply with their destination market regulations. We provide documentation support but do not assume regulatory compliance responsibility for the buyer's market.
• Buyers are responsible for conducting their own due diligence, including third-party testing, before using our products in commercial formulations.

10. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of business, including formulations, pricing, supplier information, and technical data. This obligation survives the termination of any business relationship.

11. Governing Law

These Terms are governed by the laws of the People's Republic of China. Any disputes shall be resolved through amicable negotiation first. If unresolved, disputes shall be submitted to arbitration in Wuhan, China, under the China International Economic and Trade Arbitration Commission (CIETAC) rules.

12. Changes to Terms

We may update these Terms of Service from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of our services after changes constitutes acceptance of the updated Terms.
